With a special Law on the Development Corporation of Slovenia and the Programme of Restructuring, the Development Corporation of Slovenia (DCS) was founded in June 1997 in order to accelerate the completion of the reform of company ownership. The Development Corporation of Slovenia is the legal successor to the Development Fund of the Republic of Slovenia, which operated in three areas: rehabilitation and restructuring of companies, ownership transformation of companies and financing long-term investments. It was founded as a joint-stock company, whose sole owner and shareholder is the Government of the Republic of Slovenia. The Law determines its circumstances, tasks and operations and the method and conditions for harmonising work within the company restructuring programme. In addition to the tasks which it inherited from the Development Fund, the Development Corporation of Slovenia must perform additional tasks which are directly connected to the legislation on the completion of ownership transformation and activities connected to the project of financing and actual restructuring of commercial companies and active co-operation in the execution of projects for preserving and creating new jobs.

The Development Corporation of Slovenia performs the following professional tasks for the Republic of Slovenia:

  • management and trading of stocks and other funds acquired in the process of the ownership transformation of companies and in the process of restructuring companies
  • tasks determined by the Law on the Privatisation of Legal Persons owned by the Development Fund
  • tasks connected with the completion of ownership transformation
  • tasks connected with the programme of restructuring commercial companies which the Government will include in the programme of restructuring commercial companies

In addition to those mentioned above, the Development Corporation of Slovenia’s tasks include guaranteeing capital for financing development projects, supporting innovations and the development of technologies in industry, supporting the planned linking of research and development activities with commercial and sales activities, supporting investments in companies’ development and marketing departments, supporting co-operation and the transfer of knowledge and technologies from research institutions to industry, and supporting education and the improvement of management, as well as developmental, technological, sales and marketing personnel and the programme, marketing, financial, organisational and personnel restructuring of commercial companies.

One of the most significant characteristics of the Development Corporation of Slovenia is its triple role.

Its first role is that of a large holding company, with shares or investments in more than 250 companies. The Development Corporation of Slovenia obtained majority ownership of these companies through the transfer of companies on the basis of a public invitation to tender for restructuring and rehabilitation in 1992 and through the transfer of claims from the Ministry of Economic Affairs and the Ministry of Finance. The task of the Development Corporation of Slovenia in this role is to preserve and increase the value of company capital and thus prevent the reduction of the companies’ ability to perform future development activities.

The second role of the Development Corporation of Slovenia is to perform work for the state on a commission basis, for example to execute the privatisation of companies according to the Law on Ownership Transformation of Companies, according to which ownership shares of companies temporarily come under its administration. In another form of commissioned work, the state earmarks certain funds for rehabilitation and restructuring projects and the Development Corporation of Slovenia uses those funds according to government criteria and guidelines. At this moment an important restructuring project is being carried out on the basis of a public invitation to tender, for which the Government has earmarked bonds worth ten billion tolars.

The third role of the Development Corporation of Slovenia is to perform project financing activities in which using its own business policies and its own funds it supports and guides the projects of commercial companies without regard to whether or not it is the owner of those companies. Since in this case it selects the projects and commercial companies itself in the framework of public invitations to tender and in accordance with its own already determined strategic orientations, it is quite independent in performing project financing and operates strategically in the interest of developing the Slovene economy. This role incorporates the largest developmental component and is seen in the long term as one of the future basic activities of the Development Corporation of Slovenia.

Mission

The mission of the Development Corporation of Slovenia is to play a key role in the restructuring and privatisation of the Slovene economy, and through supporting, guiding and linking the economic and technological development of the Slovene economy to contribute to increasing its competitiveness and growth, with the goal of raising the quality of life in Slovenia.

In order to fulfil its mission and achieve its vision, the Development Corporation of Slovenia is fostering a business culture with the goal of achieving business excellence based on participation and motivation, professionalism and promptness, consistency and courage, a constant desire to learn and personal integrity.

Organisation

The Development Corporation of Slovenia is made up of an administrative board, four sectors and seven professional services. It is led by the five-member administrative board, whose president is Dr. Bogdan Topic. The vital processes in the fields of rehabilitation and restructuring, development and privatisation are conducted in four sectors which are led by four members of the administrative board. The professional services offer total support to the sectors and the administrative board in the execution of activities in companies on the one hand and enable the smooth and efficient operation of the corporation on the other. The company presently employs 106 people, of whom three quarters have higher education.

With regard to strategic orientations, the Development Corporation of Slovenia is on the path to becoming an important development investment company and to establishing itself as a co-founder and participant in the implementation of industrial policy in the Republic of Slovenia. In the interest of maximising the efficiency of the use of funds for restructuring, development and privatisation it will play a linking role between research, development and business and support strategic connections between its companies and Slovene and foreign commercial companies. It will focus on projects and support investments based on Slovene know-how whose result, through the introduction or change of products or technologies, will be increased value added and competitive advantage.

With active assistance to companies in the establishment of development and global marketing, by introducing and maintaining a model of business excellence and on the basis of an efficient business information system, the Development Corporation of Slovenia will accordingly fulfil its mission.
